A company that wishes to cease business and be removed from the Register of Companies must make an official application to the Companies Registry.
To qualify for deregistration, a company must meet the following requirements:
- All members (shareholders) should agree to deregistration
- The company must have ceased business for a minimum of three months
- There should be no intention to recommence business in the future
- All trading stock, property or securities should have been disposed of
- There must be no outstanding liabilities, including taxes, fees, fines or penalties
- There must be no unanswered enquiries from the Inland Revenue Department
- All annual returns must have been filed
